1. Definitions

• "Agreement" means these Terms and Conditions together with any engagement letter or service agreement entered into between you and Chedi Vow.
• "Service" means the business advisory and consulting services provided by Chedi Vow, including Family Business Succession Planning, Cross-Cultural Partnership Design, and Corporate Sustainability Integration.
• "We / Us / Our" means Chedi Vow, located at 27 Charoen Krung Soi 36, Bang Rak, Bangkok 10500, Thailand.
• "User / You" means any individual who accesses this website or engages our services.
• "Content" means all text, documents, reports, frameworks, and other materials produced in connection with our services.
• "Website" means the site accessible at chedivow.blog.

2. Acceptance of Terms

By accessing this website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. Chedi Vow provides specialist business consulting advisory in three areas:

• Family Business Succession Planning — governance and transition advisory for family-owned enterprises.
• Cross-Cultural Partnership Design — facilitation and framework development for cross-border joint ventures.
• Corporate Sustainability Integration — strategy and reporting advisory for ESG integration.

Services are available to organisations operating in Thailand and across the ASEAN region. Geographic availability beyond these areas is subject to discussion on a case-by-case basis.

4. Engagement Terms

All advisory engagements are governed by a separate engagement letter that specifies scope, timeline, fee, deliverables, and payment terms. These Terms and Conditions apply alongside any such engagement letter. In the event of conflict, the engagement letter takes precedence for matters relating to the specific engagement.

Engagements commence only after the engagement letter has been agreed by both parties. No informal agreement to commence work creates a binding engagement unless confirmed in writing.

5. User Responsibilities

When using this website or engaging our services, you agree to:

• Provide accurate and complete information in enquiry forms and during engagements
• Use this website and our services for lawful purposes only
• Not attempt to interfere with or disrupt the functionality of this website
• Not use any information obtained from this website to compete with Chedi Vow's services without our consent
• Not reproduce, redistribute, or commercially exploit any content produced during an engagement without our prior written consent

6. Intellectual Property

All original materials on this website — including text, design elements, and methodology descriptions — are the intellectual property of Chedi Vow. You may not reproduce or use this content without prior written permission.

Deliverables produced during a client engagement (reports, frameworks, roadmaps) are provided for the exclusive use of the commissioning organisation. A limited, non-exclusive, non-transferable licence is granted upon full payment of engagement fees. Chedi Vow retains all underlying intellectual property in methodologies and frameworks used to produce such deliverables.

7. Payment Terms

Fees for advisory services are specified in Thai Baht (THB) in the applicable engagement letter. Payment terms, accepted methods, and invoicing schedules are agreed at the scoping stage. Late payments may be subject to interest at a rate consistent with Thai Commercial Code provisions. Fees are non-refundable once an engagement phase has commenced unless otherwise agreed in writing.

8. Service Delivery

We will deliver services with reasonable care and skill, to timelines agreed in the engagement letter. Where circumstances outside our control delay delivery, we will communicate promptly and work with you to agree a revised schedule. Scope changes requested by the client may affect timelines and fees; such changes will be documented and agreed before implementation.

9. Disclaimers

Our advisory services represent professional opinion and structured analysis based on available information. They do not constitute legal, financial, or accounting advice. Outcomes described in case studies or testimonials are not representative of all client outcomes and do not constitute any form of assurance regarding future results.

This website is provided "as is". While we take care to keep it current and accurate, we make no warranties regarding completeness or fitness for a particular purpose.

10. Limitation of Liability

To the extent permitted by Thai law, Chedi Vow's aggregate liability for any claim arising from an engagement is limited to the fees paid by the client for that specific engagement. We exclude liability for indirect, consequential, or special damages, loss of profits, or loss of business opportunity arising from the use of our services or website.

Nothing in these Terms limits liability for fraud, wilful misconduct, or death or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify and hold harmless Chedi Vow, its principals, and team members from and against any claims, losses, or expenses (including legal fees) arising from your breach of these Terms, misuse of our services, or provision of inaccurate information that causes us harm.

12. Termination

Either party may terminate an engagement by written notice if the other materially breaches the engagement letter and fails to remedy the breach within 14 days of written notice. We may suspend or terminate website access for users who violate these Terms. Clauses relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.

13. Governing Law and Dispute Resolution

These Terms and any disputes arising from them are governed by the laws of the Kingdom of Thailand. The parties agree first to attempt resolution through good-faith negotiation within 30 days of a dispute arising. If unresolved, disputes shall be submitted to the jurisdiction of the Thai courts in Bangkok.

14. General Provisions

These Terms, together with any engagement letter, constitute the entire agreement between you and Chedi Vow for the relevant services. If any provision is found unenforceable, the remaining provisions continue in full force. No waiver of any right constitutes a waiver of any future right. You may not assign your rights or obligations without our prior written consent.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after changes take effect constitutes your acceptance of the revised Terms.
